MISSION STATEMENT:
The Rusty Cricket Cruisers Riding Club was established in 2006 as a not-for-profit corporation. The groups officer’s and member’s priority is to raise funds for local children and animal welfare and needs; to foster and promote activities for the well being and morale of it’s members; to promote a sense of brotherhood among motorcycle and trike owners; to increase public awareness and participate in activities which promote motorcycle safety; and to promote good will and positive community relationships through participation in activities which foster friendship, equality, and patriotism.

Origination of TRCC:

The RUSTY CRICKET CRUISERS (TRCC) has actually been a dream and brainstorm of Dean, Josette and David for a couple years.

We toyed with the idea prior to going back to our former riding association in the summer of 2006, with the Rusty Cricket Cruisers becoming a reality November 25th of 2006.

The name came about from two individuals that are very important to us, Rusty, which is David's pound pup, and Cricket which is Dean and Josettes' pound pup.

TRCC's interest is in riding, sharing the road and good times with others while participating in visits to VA Nursing Homes, SPCA's and Children's Camps and Fund Raisers around the Shenandoah Valley. All of the above will be done without Tavern Runs and Beer stops. This is top priority of TRCC, to have a good, clean, fun, SAFE time while promoting motorcycling and working charity events with our probable 'Host Sponsors'.

THE RUSTY CRICKET CRUISERS, INCORPORATED
RIDING CLUB
BY-LAWS

References to The Rusty Cricket Cruisers Riding Club throughout this document may be abbreviated as; Rusty Cricket Cruisers, the Club, TRCC or RCC. All of these represent The Rusty Cricket Cruisers Riding Club.


Section I: Membership and Termination

A. Membership is open to any person who supports The Rusty Cricket Cruisers Riding Clubs ideals and purpose. Any make or model of motorcycle or trike is welcome. Riders and passengers alike.

B. Membership will not be denied due to age, race, sex or religion.

C. Prospective member applicants must have a sponsor. Sponsor; as described in Section V.

D. Members shall be voted in verbally by a majority vote of the general membership, during a general meeting.

E. All members will have the right to participate in all functions and events sponsored by the Club.

F. Members are required to have read The Rusty Cricket Cruisers Riding Clubs By-Laws, mission statement, and fulfill the requirements set forth in Sections I and IV.

G. All members are encouraged to participate in all Club Functions to include the monthly meetings and all other RCC related productions. RCC Productions are defined as charitable fundraisers in which TRCC is the hosting Club. (Club Functions)

H. Members are expected to perform tasks responsibly and diligently as required.

I. New members will receive one (1) Rusty Cricket Cruisers Riding Club Small Patch with payment of annual membership. Back patches are purchased for thirty-two dollars ($32.00) with current membership upon time of purchase.

J. Membership shall be terminated upon resignation from the Club, or for nonpayment of
membership renewal, or expulsion from the Club.

K. Members terminated for nonpayment of dues or who resign from the Club, will have their membership updated to the newest time of renewal. Any person whose membership in this Club has been terminated shall forfeit all interests in any funds or other property belonging to the Club. Your patches are bought and are yours to keep.

L. Associate members are those who pay their dues, but do not make a minimum of 30% of the
meetings or events per calendar year. Associate members are not eligible to vote, this includes
motions on the floor. Associate members are not eligible for office.



Section II: Dues Requirements

A. Membership dues shall be twenty dollars ($20.00) per year, per member. A ride waiver liability release form must be submitted at this time also.

B. Changes to the annual dues will be revised, with prior notice, by a two-thirds vote of the general membership.

Section III: Honorary Membership

A. Honorary Membership is a membership presented to an established place of business, or a person who continuously supports The Rusty Cricket Cruisers Riding Club in accordance with the Clubs purpose and By-Laws.

B. Introduction of Honorary Members will be recommended by the officers, presented and approved by a majority vote of the general membership.


Section IV: Prospective Member

A. A prospective member must have an active member of The Rusty Cricket Cruisers Riding Club act as a sponsor.

B. A Prospective Member is encouraged to attend three monthly meetings; they
need not be consecutive if a prospective member has a schedule conflict.

C. All prospective members are encouraged to participate in all functions of the Club and general
meetings. (Ride waiver liability release form must be submitted to participate in any rides or events)

D. New member's dues are to be paid in full at the time of accepted inception.

E. The period of prospective membership is designed to allow the active members to get to know
prospective member and vise-versa. It also allows the prospective member the opportunity to learn the guiding principles of the Club and ensure these are acceptable to him/her. At NO time will the prospective member be made to feel inferior or be asked to perform any task, which is not expected of an active member or associate member.
F. Once the prospective member pays dues and is voted a member of TRCC, the new member will have a grace period of 3 months. During this time, the new member has full rights to the Club with the exception of voting and bringing motions to the floor. Attendance percentage does not accumulate during this period, but starts after the end of the grace period.




Section V: Sponsors

A. The responsibilities of a sponsor are as follows:
1. The sponsor must be an active member in good standing in the Club and instill a positive attitude.

2. The sponsor must supply the prospective member with an explanation of The Rusty Cricket Cruisers Riding Club By-laws and insure that the prospective member has The Rusty Cricket Cruisers best interests in mind.

3. The sponsor is accountable for the prospective members’ actions and behavior.

4. The sponsor must be present to nominate the prospective member for membership.

Section VI: Club Activities

A. The Club shall provide support and assistance for Club Functions, and for other activities which have a direct bearing on the Club and community.
Members are required to sign-in at all events and functions (See attachment 2).

B. Official yearly functions include the following:

Section VII: Club Colors

A. Members are encouraged to wear the Club colors during official functions, events, and general meetings.

B. When wearing the Club colors you are expected to act in a manner that will not bring shame,
embarrassment or dishonor to the Club.

C. Patches are the only official Club colors. The Rusty Cricket Cruisers logos may not be altered in any way.

D. In events and parades when flying flags: The President will always fly the National Ensign; the Vice-President will fly the Virginia Flag. An active member in good standing may carry The Rusty Cricket Cruisers Riding Club Flag.





Section VIII: Review and Disciplinary Action

A. Disciplinary action will range from, but is not limited to: verbal or written warning, or dismissal from the Club. The severity of the action will be directly proportional to the severity of the offense.

B. No member or prospective member may at any time engage in the following:

1. Dishonoring the Club colors.
2. Lie, cheat, or steal from any Club member or supporting organization or business.
3. Execute unsafe riding maneuvers or excessive speeds in formation or during club functions.
4. Show disrespect to any club member or to any other Riding Club/ Motorcycle Club/ Riding Group or members there of.
5. Use alcohol before or during rides.
6. Use of drugs (Immediate Expulsion)

C. All complaints shall be referred to the officers.

D. The officers shall review and vote on all complaints and submit their findings and recommendations to the club members. The officers will determine the disciplinary action for the offender.
E. The involved member shall be provided prior notice and the opportunity to plead their case before the officers. After a due and proper hearing, the officers shall review all the facts. If the evidence indicates the member has engaged in conduct unbecoming of a Rusty Cricket Cruisers Riding Club member, the member may be warned, reprimanded, or expelled from membership.

(Expulsion requiring two-thirds vote of the general membership.)
1. Verbal warnings shall be performed with (2) two officers present.
2. Written warnings will be signed by the (5) elected officers
3. Expulsion requires two-thirds vote of the general membership after being presented to the Officers.


Section IX: Officers

A. The offices of the President, Vice President, Secretary, Treasurer and Sergeant-at-Arms shall be nominated from among the active members. The Officers shall be elected by the general membership.







Section X: Administrative Duties

A. President
1. Shall preside at all meetings of the Club.
2. Shall promote the objectives for which the Club is organized.
3. Shall coordinate the conduct of the election of Officers as vacancies arise.
4. Shall sign or authorize the Treasurer to expend funds for any worthwhile and approved event or
activity.

B. Vice President
1. Shall discharge the duties of the president in his/her absence and shall execute the work of the
Club under the By-Laws in the same manner and with like powers as the President.
2. Shall render assistance as may be required by the President.
3. Shall fill the vacancy of the Presidents office during the Presidents term if for any reason the
President is unable to complete his/her term.

C. Secretary
1. Shall keep accurate and updated records of all general membership meetings and shall provide copies to members.
2. Shall perform other duties as may be delegated by the President.
3. Shall give timely notices of all meetings and activities.
4. Shall prepare the agenda for each meeting.
5. Shall maintain all records and other correspondence received by the Club.

D. Treasurer
1. Shall prepare a monthly and yearly financial report to be presented to the active members.
2. Shall ensure that disbursements of funds shall be consistent with the provisions of these By-Laws.
3. Shall be co-signer on funds disbursed with the President, Vice-President or the Secretary.
4. Shall have his/her accounts audited annually or as deemed necessary by the Board.

E. Sergeant-at-Arms
1. Maintain order at group function and meetings.
2. Check membership at group meetings.
3. Monitor prospective members prior to joining.
4. Escort prospective members on group rides. Once in place, this duty will be shared by the
appointed Shepard of Rusty Cricket Cruisers Section XIV, part A.
5. Perform any other duties as generally fall to that office or assigned by president.



F. THE OFFICERS
1. Shall function as policy making and advisory body on all matters relating to the Clubs activities.




Section XI: Elections


A. Nominations will be held in December for the five Officer positions.

B. Nominees for Officer Positions must have 60% attendance of Club functions for the year. (January-December). Attendance determined by sign-in sheets for the years activities and functions.

C. The President will determine if any event is excusable due to hospitalization, family illness, or death in the family keeping that person from being nominated for office.

D. There are NO absentee ballots

E. Associate members may not vote.

Section XII: Assumption of Office

A. The Officers shall be installed during the first general membership meeting in January and shall assume their offices immediately.

Section XIII: Terms of Office

A. The Officers will maintain their current office until a newly nominated member is granted that office through the procedures as listed in Section XI: Elections



Section XIV: Appointed Offices

A. Shepard
1. The responsibilities of the Shepard is to uphold the by-laws of The Rusty Cricket Cruisers
Riding Club, welcome invited guests and be their escort while attending events hosted by The
Rusty Cricket Cruisers Riding Club, Ride directly behind invited guests to determine their
ability to safely operate a motorcycle while in group riding formation with Rusty Cricket
Cruisers Riding Club.

2. Escorting will be in partnership with the President. The Shepard reports directly to the
President of any activities of the invited guest that would jeopardize the safety of the group, or
bring disrespect to Rusty Cricket Cruisers Riding Club, its sponsor, or any other group that
Rusty Cricket Cruisers Riding Club would be affiliated with in any public function.

3. Once reporting the event to the President, The Shepard and remaining RCC Officers would handle the situation directly and clearly.

Section XV: Meetings

A. The meetings of the Club shall be as follows:
1. A general membership ride will be held on the first Sunday of the month.

2. Members are required to sign-in for Club Functions.

3. A general membership meeting will be held in January and it shall include:
a. Presidents Annual Report.
b.Treasurers Report.
c. Election results and installation of new Officers if applicable

5. Two-thirds of the Officers shall constitute a quorum to transact business at each meeting.



Section XVI: Removal of Officers

A. The Officers and one member in good standing shall have the authority to remove any Officer for affirmed grounds of incompetence, neglect of duties, or misconduct in office.

B. In the event of a vacancy of an Officer’s position, the vacancy shall have a
nomination and be filled by a vote at the next general membership meeting of the active members present.

Section XVII: Political Activity

A. This Club shall not be used in any way for political purposes, nor shall it actively participate or endorse the political candidacy of any person.

Section XVIII: Amending By-Laws


Changes to By-Laws will be listed on the Amendment page until revisions are made.









Section XIX: Founders Rights

A. The Founders; David Lupton, Dean LeMair, Josette LeMair, Bill Whitaker and Ray Lupton will maintain ownership of The Rusty Crickets Cruisers Riding Club, all logos, future trademarks and merchandising associated with The Rusty Cricket Cruisers Riding Club.

B. The Founders maintain the right to overrule any changes to the Clubs bylaws, mission statement, or general functions of the Club which do not adhere to the principles on which The Rusty Cricket Cruisers Riding Club was founded.

C. The Founders maintain the right to disband the Club. In the event that the Founders disband TRCC, the monies that are left in the Treasury are to be split equally among The Warren County Humane Society and The Rockingham-Harrisonburg Humane Society. TRCC does not owe any members re-imbursement of membership funds at the time of disbandment.



The following was amended with the by-laws being revised October 25th, 2009.
Removal of all references to being INCORPORATED.
Removal of the sections referring to the BOARD.
Amending the Officers terms to indefinitely.
These were put into place because of the loss of Incorporation by the Commonwealth of Virginia. There is no need for a board.

Benefit: The addition of “RCC related productions” and the definition of that phrase will benefit TRCC in the definition of Active and Associate Members to come under the percentage of meetings and functions.

Change: L. Members terminated for nonpayment of dues or who resign from the Club, will have their membership updated to the newest time of renewal. Any person whose membership in this Club has been terminated shall forfeit all interests in any funds or other property belonging to the Club. Your patches are bought and are yours to keep.
Benefit: This rendering will eliminate the statement, “submitting a new application for membership”…, in which there is none when members are first being prospected for the Club. It also clears up all questions on what should happen to the patches.
Current: Section IV – There is no mention of a grace period for voting for the new members.

Once the prospective member pays dues and is voted a member of TRCC, the new member will have a grace period of 3 months. During this time, the new member has full rights to the Club with the exception of voting and bringing motions to the floor. Attendance percentage does not accumulate during this period, but starts after the end of the grace period
Current: Section VI – Activities and Functions

Change: Change Activities and Functions to Club Functions to be consistent from Section I – Line item ‘G’

Benefit: Continuum of terms in consistent state throughout by-laws.
Current: Section VI – Line Item A. The Club shall provide support and assistance for activities and functions sponsored by the Club, and for other activities, which have a direct bearing on the Club and the community. Members are required to sign-in at all events and functions (See attachment 2).

Change: First sentence to read, “ The Club shall provide support and assistance for Club Functions, and for other activities which have a direct bearing on the Club and community.

Benefit: This will maintain the consistency in reference to Club Functions.
Current: Section XV Paragraph A – Line Item 2. Members are required to sign-in for all meetings, events, and functions. (See attachment 2)

Change: Remove, “…all meetings, events and functions.” Replace with …”Club Functions.”

Benefit: This will maintain the consistency in reference to Club Functions.





Current: Section XV Para. A – Line Item 5. Two-thirds of the Officers and Board members shall constitute a quorum to transact business at each meeting.

Change: Remove the word “and” and replace with ‘or’ between Officers and Board

Benefit: A quorum is constituted with either 2/3 of the Officers or Board Members under normal circumstances in other clubs. Recommend following suite

Current: Section XIX – Line Item C. The Founders maintain the right to disband the Club.

Change: Add the following: In the event that the Founders disband TRCC, the monies that are left in the Treasury will first be divided and relinquished to pay off any start-up fees if due. The remaining funds, if any, are to be split equally among The Warren County Humane Society and The Rockingham-Harrisonburg Humane Society. TRCC does not owe any members re-imbursement of membership funds at the time of disbandment.

Benefit: Plainly states where the monies would be dispersed in the demise of TRCC.
